1. The Seller

MV-Jarvis (the "Service") is operated by Marco Sergio MELANO ("we", "us", "Seller"). By accessing or using the Service you are entering into a contract with the Seller and agree to these Terms & Conditions ("Terms").

2. Acceptance

By creating an account, accessing or continuing to use the Service, you confirm you have read, understood and accept these Terms. If you do not agree, do not use the Service. You confirm that you are of legal age in your country and, if acting on behalf of an organisation, that you have authority to bind it.

3. The Service

MV-Jarvis is an AI-assisted analytics service for MV Agusta riders. Users upload telemetry and trip data and receive analyses of riding style, technical tips, and bike status. Some features ("PRO") are available only with an active paid subscription.

4. Acceptable use

You agree not to misuse the Service. In particular, you must not:

• use the Service for any unlawful, fraudulent, deceptive or harmful activity;
• send spam, malware, or content that infringes third-party rights;
• probe, scan, scrape, reverse engineer, or interfere with the security of the Service;
• resell, sublicense or redistribute the Service or AI outputs without our consent;
• upload data you do not have the right to share.

5. Account & credentials

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it up to date.

6. Intellectual property

The Service, including software, models, design, branding and documentation, is owned by the Seller and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You retain ownership of the trip data you upload; you grant us a limited licence to host and process such data solely to provide the Service.

Third-party trademarks. "MV Agusta", the MV Agusta logo and all related names, model designations and marks are the exclusive property of MV Agusta Motor S.p.A. and/or their respective owners. MV-Jarvis is an independent, third-party web application and is not affiliated with, sponsored by, endorsed by, or otherwise connected to MV Agusta Motor S.p.A. The Service is a web-app whose sole purpose is to read and analyse the telemetry and trip data that the user voluntarily uploads. Any reference to the MV Agusta brand, models or logos is made solely for descriptive and nominative purposes (nominative fair use) to identify the motorcycles to which the user-supplied data refers, and does not imply any partnership, endorsement or commercial relationship. All other trademarks, product names and brand names mentioned in the Service belong to their respective owners.

7. AI outputs

AI-generated analyses, riding-style summaries and technical tips are provided "as is" for general informational purposes. They may be inaccurate or incomplete and must not be relied on as professional, mechanical, medical, legal or safety advice. You are responsible for verifying outputs and for how you use them. You must not use the Service to generate illegal content, deepfakes, hate speech, malware or to attempt to bypass safety filters. We may filter, remove or restrict outputs and accounts that violate these rules.

8. Payments, subscriptions and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, renewal, cancellation and refund mechanics are governed by the Paddle Buyer Terms.

Subscriptions renew automatically at the end of each billing period (monthly or yearly) at the then-current price unless cancelled. You can cancel at any time from your account page; access to PRO features continues until the end of the paid period.

9. Service level & warranties

The Service is provided on a best-effort basis. We do not guarantee that the Service will be uninterrupted, error-free or available at all times. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

10. Limitation of liability

To the fullest extent permitted by law, our aggregate liability for any claim relating to the Service is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special or incidental damages, including loss of profits, data or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (e.g. fraud, death or personal injury caused by negligence).

11. Indemnity

You agree to indemnify and hold us harmless from any claim arising out of your data, your unlawful use of the Service or your breach of these Terms.

12. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated/serious policy violations. On termination your right to use the Service ends; we may delete your data after a reasonable export window.

13. Changes

We may update these Terms from time to time. Material changes will be notified via the Service or by email. Continued use after the effective date constitutes acceptance.

14. Governing law

These Terms are governed by the laws of Italy. Disputes are subject to the exclusive jurisdiction of the competent courts of the Seller's place of residence, without prejudice to mandatory consumer protection rules.
